1. Agreement to Terms
By accessing or using the Sopoints platform, including the Sopoints Customer app, the Sopoints Merchant app, the merchant web dashboard, the Sopoints POS screen, public booking pages and the sopoints.com website (together, the "Service"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.
These Terms apply to customers who earn and redeem loyalty points, to guests who join a waitlist or make a reservation without an account, and to merchants and their staff who use the Service to run loyalty, payments, waitlist and messaging programs.
Eligibility. You must be at least 18 years old, or the age of majority in your province or territory if higher, to create an account. Some features have additional age requirements (see Section 8).
2. Loyalty Points
2.1 Universal Points
Sopoints operates a coalition loyalty program. Participating merchants issue Sopoints points ("SP" or "points") that can be redeemed at that merchant and, where the issuing and redeeming merchants both participate in the universal points pool, at other participating merchants.
- Value. Points are a promotional currency with no cash value. The reference value used to settle redemptions between merchants is set by Sopoints and may change with notice.
- Earning rates. Each merchant sets its own earning rate, minimum purchase and campaign rules. The applicable rate is shown at the merchant or in the app before you earn.
- Currency buckets. Points are tracked in the currency of the issuing merchant's country (for example CAD or USD) and can only be redeemed at merchants in that same currency.
- Expiry. Points expire according to the issuing merchant's policy, shown in your wallet. Expired points are removed automatically and cannot be restored.
2.2 Merchant-Specific Points
A merchant may choose to issue points that are redeemable only at that merchant. Such points are marked as merchant-specific in your wallet and follow that merchant's expiry rules.
2.3 Earning
Points may be earned through qualifying purchases, Scan & Pay payments, QR or NFC check-ins, promotional campaigns, referrals, achievements, loyalty tiers, birthday offers and other promotions a merchant or Sopoints runs. Points are usually credited immediately. Transactions flagged by our fraud controls may be held for review, and a held transaction is not credited until approved. Points earned on a purchase that is later refunded or disputed are reversed.
2.4 Redeeming
- Redemptions are subject to the merchant's minimum redemption amount and to the rewards the merchant chooses to offer.
- When you redeem from your own app, we issue a time-limited redemption voucher. A voucher that is not fulfilled before it expires is cancelled and the points are returned to your wallet automatically.
- A completed redemption is final. Reversals are handled under our Refund Policy.
- Some redemptions require a one-time code or confirmation on your device before a merchant can complete them. Keep your device secure.
2.5 Non-Transferability
Points cannot be sold, bought, exchanged for cash or transferred between accounts except through features we provide (such as referral rewards) or as we authorise in writing.
3. Accounts and Security
- Provide accurate information and keep it current. Verify your email address or phone number when asked.
- You are responsible for activity under your account. Keep your password private and notify us at support@sopoints.com of any unauthorised access.
- We offer two-factor authentication and passkeys and recommend enabling them. Certain merchant actions, such as refunds, require re-authentication.
- Merchant owners may invite staff and assign roles. The merchant is responsible for the actions of its staff on the Service.
- We may require identity verification before enabling certain features, redemptions, payouts or withdrawals, and may suspend those features until verification is complete.
4. Scan & Pay
Where a merchant has enabled Scan & Pay, you may pay that merchant by scanning its QR code and paying with a card, Apple Pay or Google Pay. Payments are processed by our payment processor and settle to the merchant. Sopoints is not the seller of the goods or services you pay for.
- Confirm the amount before you pay. A payment code is valid for a limited time and for a single payment.
- Points earned on a payment are credited by the merchant's loyalty rules once the payment succeeds.
- Refunds are issued by the merchant to your original payment method and reverse the related points. See the Refund Policy.
- If you dispute a charge with your card issuer, points earned on that payment are reversed while the dispute is open.
5. Waitlist and Reservations
Merchants may offer a digital waitlist and reservations through the app, a public booking page or an embedded widget. Bookings can be made with or without a Sopoints account.
- Deposits and no-show fees. A merchant may require a card deposit. Depending on the merchant's policy, the deposit is either held and released or charged at booking. The cancellation window, refund tiers and any no-show fee are shown before you confirm and form part of your agreement with that merchant.
- Cancellation. Cancel through the link or code in your confirmation. Fees are applied by the merchant's policy as displayed at booking. Held deposits are released when you are seated, when you cancel, or when the booking is completed.
- Messages. You may receive SMS, push or email updates about your booking. Reply STOP to any SMS to opt out of text messages; you will then receive updates by other channels only.
- Feedback. A merchant may invite you to rate your visit after it ends. Feedback is optional.
6. Merchant Messaging and Marketing Consent
Merchants may send you promotional messages only if you have given express consent, which you can give when you enrol with a merchant or in your notification settings. You can withdraw consent for a single merchant or for all marketing at any time in the app, through the unsubscribe link in any marketing email, or by replying STOP to a marketing SMS. Transactional messages about your account, bookings and payments are not marketing and continue while your account is active.
7. Referrals, Achievements, Tiers and Birthday Offers
- Referral rewards are paid only for genuine new users who complete the qualifying action. Self-referrals, duplicate accounts and incentivised sign-ups are prohibited and result in reversal.
- Achievements and loyalty tiers are promotional programs whose rules, multipliers and rewards may change or be withdrawn by the merchant or by Sopoints.
- Birthday offers depend on the date of birth in your profile and are issued by participating merchants according to their own rules.
8. Play & Win Games
Some merchants and Sopoints offer promotional games and daily draws in which entries are paid with points and prizes may include points, merchant rewards, gift cards or physical items.
- You must have reached the age of majority in your province or territory (18 or 19 depending on where you live) and confirm your province to play. We may restrict or close games where they are not permitted.
- Points spent on entries are not refundable. Points cannot be purchased with money, and no payment is required to earn points.
- Prize odds, limits and claim periods are shown in the game. Physical and gift-card prizes must be claimed within the stated period and may require a shipping address and identity confirmation.
- You may set play limits or exclude yourself from games in your settings, and we may apply limits to protect users.
9. Acceptable Use
You agree not to: engage in fraud or abuse to earn, redeem or transfer points; create multiple accounts; use bots or automation; buy, sell or trade points; exploit bugs or bypass security controls; reverse engineer the Service; scrape or harvest data; share account credentials; or use the Service for any unlawful purpose. We may suspend or terminate accounts, reverse transactions, forfeit points obtained in breach of these Terms, and report unlawful activity to authorities.
10. Merchant Terms
This Section applies to merchants and their staff.
10.1 Plans, Add-ons and Billing
- Features are provided according to the subscription plan and add-ons you select. The current plans, prices, limits and included features are shown on our pricing page and in your billing settings and may change on notice. A plan change takes effect as described at the time you make it.
- Subscriptions renew automatically and are billed in advance through our payment processor in your billing currency. Transaction fees, where your plan has them, are billed as described in your billing settings. Usage-based add-ons are metered.
- Non-payment may result in suspension of paid features and, after a grace period, of the account. Stated limits (locations, monthly points, active rewards, live campaigns and messaging quotas) are enforced by the Service.
10.2 Universal Points Pool and Settlement
- A merchant that issues universal points must keep a funded pool account sufficient to cover the points it has outstanding. Issuance may be refused when coverage is insufficient.
- Cross-merchant redemptions are settled from the issuing merchant's pool to the redeeming merchant. Settlement records are available in the dashboard.
- You may not disable universal issuance while you have outstanding universal points.
10.3 Scan & Pay, Deposits and Payouts
- To accept card payments or deposits you must complete onboarding with our payment processor and keep your account in good standing. Funds settle to your connected account less any platform fee disclosed in your dashboard.
- You are the seller for your goods and services and are responsible for refunds, disputes and chargebacks relating to them. Amounts refunded or lost to disputes, including processor fees, may be deducted from your payouts or transfers.
- Your deposit and no-show policies must be lawful in your jurisdiction and must be disclosed to guests through the policy settings we provide.
10.4 Customer Data and Messaging
- You may use customer data obtained through the Service only to operate your loyalty program and to serve those customers, in compliance with privacy and anti-spam laws (including Canada's Anti-Spam Legislation).
- You may message customers only with the consent recorded in the Service and must honour opt-outs. Message content is subject to review rules, sending limits and quotas.
- Guest data collected through waitlist and reservations is retained only as long as needed and is purged on a schedule.
10.5 Identity Verification and Compliance
We may require verification of your business and its owners before enabling payouts, pool withdrawals or other features, and may suspend those features pending verification. You agree to provide accurate documents and information.
10.6 Merchant Suspension
We may suspend or terminate a merchant for non-payment, insufficient pool funding, breach of these Terms, fraud, unresolved disputes or customer complaints, or business closure. On termination you must settle outstanding balances, and outstanding universal points you issued remain your liability.
11. Fees for Customers
Creating an account, earning points and redeeming points are free for customers. Scan & Pay payments and reservation deposits are payments to the merchant for its goods and services and are not Sopoints fees.
12. Privacy
Our Privacy Policy explains what we collect, how we use it and your rights, including how to export or delete your data.
13. Intellectual Property
The Service, including software, designs, logos, trademarks and content, is owned by Sopoints or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, distribute, reverse engineer or create derivative works from the Service, or use our marks without written permission. By uploading content such as logos, images or reviews you grant us a worldwide, royalty-free licence to host, display and distribute it as part of the Service; you keep ownership of your content and confirm you have the rights to it.
14. Disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted or error-free operation. Merchants are independent businesses: we are not responsible for the quality, safety or legality of their goods and services, for their compliance with laws, or for disputes between you and a merchant.
15. Limitation of Liability
To the fullest extent permitted by law, Sopoints and its officers, directors, employees and agents are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of CAD $100 and the amounts you paid to Sopoints in the twelve months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law, or limits rights you have as a consumer under mandatory consumer protection laws.
16. Indemnification
You agree to indemnify and hold harmless Sopoints and its affiliates, officers, directors, employees and agents from claims, damages, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of law or third-party rights, your content, or fraudulent activity on your account. Merchants additionally indemnify us for claims relating to their goods, services, pricing, refunds and messaging.
17. Dispute Resolution
- Talk to us first. Contact support@sopoints.com and allow 30 days for informal resolution.
- Arbitration. If a dispute is not resolved informally, it will be resolved by binding arbitration before a single arbitrator seated in Toronto, Ontario, Canada, under the Arbitration Act, 1991 (Ontario), unless applicable law gives you the right to bring the claim in court. Each party bears its own costs unless the arbitrator decides otherwise.
- No class actions. To the extent permitted by law, claims must be brought individually and not as a plaintiff or class member in any class or representative proceeding.
18. Termination
- By you. You may request deletion of your account in the app or by email. Deletion is scheduled after a grace period of 30 days, during which you can ask support to restore the account. Unredeemed points have no cash value and are forfeited when the account is deleted. A merchant must settle outstanding balances before its account is closed.
- By us. We may suspend or terminate your access for breach of these Terms, suspected fraud or illegal activity, non-payment, or where required by law.
- Sections that by their nature should survive (including limitations of liability, indemnities and dispute resolution) survive termination.
19. Changes to These Terms
We may update these Terms. Minor changes take effect when posted. For material changes we will give at least 30 days' notice by email or in the Service. Continued use after the effective date means you accept the changes; if you disagree, stop using the Service and close your account.
20. General
- Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of law rules.
- Severability. If a provision is unenforceable, the rest remains in effect.
- No waiver. Failure to enforce a right is not a waiver of it.
- Assignment. You may not assign these Terms. We may assign them to an affiliate or successor.
- Entire agreement. These Terms, the Privacy Policy, the Refund Policy and any merchant policies shown to you at booking or payment form the entire agreement between you and Sopoints.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
